I want to start a coffeshop or Restaurant, but I need some $20-30K. Anybody can contribute this money, I can either give a 25%in profit or just can give as an investor with a return also fine. If anybody interested pls write to me: am in Southeast Asia.

An American answer (which may or may not apply) ...

Some things to consider ... first, you want to protect yourself and your reputation by being selective with who you deal with and by putting the arrangements into writing. It is also important that your investors understand there are risks in opening a small business ... they might not be repaid immediately ... they might not ever be repaid if the business fails.

Be clear in the arrangements about whether it is an investment in your business or a personal loan to you to start a business (there is a big difference). Also be sure you have a mutual understanding of the difference between %26#039;profit%26#039; and %26#039;cash flow%26#039;. And be clear on whether the investor has a permanent stake in your profits (do they get 25% of the profit forever ... or just until their investment has been repaid). Clarify who can make decisions about the business (if you have promised 25% of the profits to someone, you may be giving them the rights to make 25% of the decisions ... or worse 100% of the decisions ...)

And one last obvious thing ... don%26#039;t promise 25% of the profits to more than four investors ... or you will have some legal problems ...

Long and short of the American answer ... you will probably want to get some legal advice before making any contractual commitments ... and you will definitely want the agreement in writing.
